CONSTITUTION
Article I—Name
The name of this organization shall be The New Jersey State Conference
of the American Association of University Professors.
Article II—Purpose
The purpose of this organization shall be to facilitate cooperation
among the AAUP chapters in New Jersey, to provide a means of
coordinating action by the chapters on matters of common concern, and
to promote the objectives of the AAUP.
Article III– Membership
All duly recognized chapters of the AAUP and all AAUP members-at-large
in New Jersey are eligible for membership in this Conference.
Article IV—Officers
The officers of this organization shall be a President, a Vice
President, a Secretary, and a Treasurer. The term of office shall
be for two years, the President and the Vice President being elected in
odd numbered years, the Secretary and the Treasurer in even numbered
years.
Article V—Executive
Committee
Section 1.
There shall be an Executive Committee consisting of the elected
officers, the immediate past-president, and four members-at-large two
of whom shall be elected in odd numbered years and two of whom shall be
elected in even numbered years.
The chairpersons of standing committees, the president of each AAUP
Chapter in New Jersey or his/her designee, and the editor of the
Conference newsletter shall be ex officio members of the Executive
Committee and shall have the right to voice without vote at all
Executive Committee meetings.
Section 2.
The Executive Committee shall conduct the business of the Conference
between meetings and shall name the place and date of the Annual
Meeting.
Section 3.
The Executive Committee shall meet at least twice during each Fall and
Spring academic semester.
Article VI—Meetings of the
Conference
Section 1.
There shall be an Annual Meeting of the Conference to be held not less
than two weeks before the Annual Meeting of the Association.
Section 2.
Special meetings shall be called by the President at the direction of
the Executive Committee.
Article VII—By-Laws
By-Laws of this Constitution may be adopted or altered at any meeting
of the Conference by a majority vote of the delegates present and
voting, provided that written notice of proposed by-laws or alterations
in existing by-laws has been sent to the chapters at least three weeks
before the meeting at which action is to be taken.
Article VIII—Amendments
This Constitution may be amended at any meeting of the Conference by a
two-thirds vote of the members present and voting, provided that
written notice the proposed amendment has been sent to the chapters at
least three weeks before the meeting at which action is to be taken.
BY-LAWS
I. Duties of Officers
The duties of the officers shall be those customarily assigned to them,
with the exception that the Vice President shall be given the
responsibility of planning the program of the Annual Meeting.
II. Elections
1. The President shall appoint a three-person nominating committee
before November 1 preceding an election year. This nominating
committee shall report to the Secretary at least six weeks before the
Annual Meeting who, in turn, shall distribute the report to the
chapters not later than three weeks before the Annual Meeting.
2. There may be nominations from the floor at the Annual Meeting.
3. The officers shall assume their duties at the close of the Annual
Meeting.
4. Election of officers shall be by secret ballot during the Annual
Meeting of the Conference. Each Chapter of the Conference shall
be eligible to send voting delegates to the annual meeting. The
chapter president or his/her designee shall certify in writing the
names of the official chapter/unit delegates to the Conference
President or his/her designee by the time the annual business meeting
is called to order. Only official delegates may cast chapter
votes. Member Chapters of the Conference shall be represented in
the voting only by their official chapter delegation. Each
chapter’s delegation shall be entitled to one vote for each 20 members
(or fraction thereof) for whom dues have been received up to a maximum
of 50 votes. Any member in good standing of the Conference who is
not represented by a Chapter of the Conference shall be entitled to an
individual vote, providing that the member is in attendance at the
annual meeting.
III. Committees
The Conference may establish standing committees with titles and
purposes as those designated for the committees of the national
Association; for example,
Committee on Academic Freedom and Tenure,
Committee on Teaching, Research, and Publication,
Committee on Government Relations,
Committee on University Governance,
Committee on Women in the Academic Profession,
Committee on Contingent Faculty and the Profession,
and ad hoc committees as deemed necessary.
IV. Dues
Annual dues shall be set by majority vote of the Conference.
Chapter dues shall be based on the number of active members on the
national AAUP roster as of the preceding year.
V. Newsletter
The Conference shall publish a newsletter to be edited by staff
appointed by the president.
VI. Resolutions
All resolutions to be presented at a State Conference Meeting are to be
sent four weeks in advance of the meeting to the State Conference
Secretary, who, in turn, will send copies of these resolutions three
weeks in advance of the State Conference meeting to all the presidents
of the local chapters. However, with approval of the State
Conference Meeting a two-thirds vote can suspend this rule.
VII. Parliamentary
Authority shall be Robert’s Rules of Order, Revised.
